Terms of Use

1. Who we are

“CGode Dev”, “we” and “us” mean CGode Dev, the software company behind cgode.dev (contact: info@cgode.dev). “You” means the person or organisation that downloads, installs or uses our software or this website.

2. What these terms cover

These terms apply to the apps published on apps.cgode.dev, currently CGode PDF and CGode Shift, including their installers, updates and documentation (together, the “Apps”), and to this website (the “Site”).

By downloading, installing or using the Apps, or by ticking the box on our download page, you agree to these terms. If you do not agree, do not download, install or use the Apps. If you accept on behalf of an organisation, you confirm that you are allowed to do so.

3. Your licence to use the Apps

The Apps are licensed to you, not sold. We give you a free, personal, non-exclusive, non-transferable and revocable licence to install and use the Apps on computers that you own or control, for personal or business purposes, as long as you follow these terms.

You may not:

• sell, rent, lease, sublicense or charge others for the Apps;
• publish the Apps under another name or brand, or present them as your own work;
• remove or change any copyright, trademark or licence notice;
• copy, modify, decompile or reverse-engineer the Apps, except where the law or an open-source licence of an included component clearly allows it;
• use the Apps for anything illegal, harmful or fraudulent, including forging, falsifying or tampering with documents, signatures or records, or infringing anyone's copyright or other rights.

You may share the official download link to this Site. Please do not re-host the installers elsewhere, so that people always get genuine, unchanged files.

4. Fully offline, and your files

The Apps are designed to work offline. They process your files on your own computer and do not upload your files, documents or personal data to CGode Dev or to anyone else. You do not need an account. More details are in our Privacy Policy.

Because everything stays on your computer, you are solely responsible for your files, including where they are stored, who can access your computer, and keeping backups.

5. Your responsibilities

• Backups. Keep up-to-date backup copies of any file before you open, edit, convert, compress, merge, split or save it with the Apps.
• Check the result. Review every edited or converted file before you rely on it, sign it, print it, publish it or send it to anyone. Text recognition (OCR), format conversion, compression and font replacement can produce results that differ from the original.
• Rights to your documents. Only edit or convert files that you are allowed to change.
• Signatures. The signature tool in CGode PDF places an image or drawing of your signature on a page. It is not a certified or qualified electronic signature. You are responsible for whether a signed document is legally valid where you use it.
• Security. Password protection and redaction depend on how you use them and on the software other people use to open your files. Always check that private content is really removed before sharing a file.
• Your computer. Keep your operating system and security software up to date, and use the Apps only on computers that work properly.

6. No warranty

The Apps and the Site are provided “as is” and “as available”, free of charge and without any warranty of any kind, whether express, implied or legal.

To the fullest extent allowed by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, quality, non-infringement, and that the Apps will be error-free, uninterrupted, secure, compatible with your computer or other software, or that any file will open, convert or save correctly.

7. Limitation of liability

To the fullest extent allowed by law, CGode Dev, its owner, employees and partners will not be liable for any direct, indirect, incidental, special, consequential, exemplary or punitive damages, or for any of the following, however caused and even if we were told they might happen:

• loss, corruption, deletion or leakage of files, documents or data;
• damage caused by hardware failure or malfunction, storage or disk failure, power cuts, system crashes, viruses or malware, the operating system, or other software;
• errors or differences in edited, converted, recognised (OCR), compressed or signed files;
• loss of profit, revenue, business, contracts, time, reputation or goodwill;
• any claim made by a third party against you.

If, despite the above, we are found liable for anything, our total liability for all claims together is limited to fifty US dollars (USD 50), since the Apps are given to you free of charge.

Nothing in these terms limits liability that cannot legally be limited, such as liability for fraud. If you are a consumer, you keep any rights that the law of your country gives you and that cannot be waived by contract.

8. Indemnity

You agree to defend and compensate CGode Dev for any claim, loss or cost (including reasonable legal fees) caused by your misuse of the Apps, by documents you create or change with them, or by your breach of these terms or of the law.

9. Updates, support and changes

We may release updates, change features, or stop offering an App at any time, without notice. We are happy to help when we can, but we are not obliged to provide support, fixes or updates. Older versions may stop working with newer versions of Windows.

10. Third-party components

The Apps include open-source components made by others, each under its own licence (listed on our Licenses page). For those components, their own licence applies and takes priority over these terms. Some features rely on software you install yourself, such as Microsoft Office or LibreOffice for converting documents. That software is governed by its own terms.

11. Ownership

The Apps, their design, the names “CGode”, “CGode Dev”, “CGode PDF” and “CGode Shift”, the logos and the content of this Site belong to CGode Dev, except third-party components and content, which belong to their owners. These terms do not give you any rights to our names or logos.

12. App ideas and messages you send

If you send us an idea or suggestion, you allow us to use it freely, without payment or obligation to you. Sending an idea does not create a contract or partnership, and we may already be working on something similar.

13. The website

We try to keep the Site accurate and available, but we do not promise that it always will be. Links to other websites (such as social networks) are for your convenience; we are not responsible for their content or practices.

14. Ending this licence

Your licence ends automatically if you break these terms. You can end it at any time by uninstalling the Apps. Sections 5 to 8, 11, 12 and 15 stay in force after the licence ends.

15. Law and disputes

These terms are governed by the laws of Lebanon. Any dispute will be handled by the competent courts of Lebanon, unless the law of your country requires otherwise. Before going to court, please contact us at info@cgode.dev so we can try to solve the problem together.

16. Other things

If any part of these terms cannot be enforced, the rest still applies. If we do not enforce a right straight away, we do not give it up. These terms, together with the Privacy Policy, are the whole agreement between you and us about the Apps and the Site.

17. Changes to these terms

We may update these terms. The date at the top shows the latest version. When the terms change, we ask you to agree again before your next download. Continuing to use the Apps after a change means you accept the new terms.
